1. Acceptance of terms

These Terms and Conditions ("Terms") govern your access to and use of the website xenevaservices.com and any related services offered by Xeneva Hospitality Private Limited ("Xeneva", "we", "our", or "us"), a company incorporated in India with its registered office at Top Floor Office No 502, 1/56-D, Lalita Park, Laxmi Nagar, East Delhi, Delhi — 110092 (GSTIN: 07AAACX5779N1ZI).

By accessing the website, placing a booking, or using any service, you confirm that you have read, understood and agree to be bound by these Terms, our Privacy Policy and our Refund & Cancellation Policy. If you do not agree, please do not use this website.

2. Eligibility

You must be at least 18 years of age and legally competent to enter into a contract under the Indian Contract Act, 1872, to use this website and make bookings.

3. Nature of services

Xeneva offers a curated selection of paid consultancy services including business strategy sessions, marketing & branding reviews, financial & investment advisory, legal document review and drafting, tax & GST consultations, HR policy reviews, tech & digital audits and career coaching. Each consultation is delivered by a vetted Indian expert from our network.

Xeneva acts as an aggregator and service facilitator. The actual consultation is delivered by the assigned consultant and may be subject to additional terms specified on the service page. All such consultant-specific terms form part of these Terms.

4. Pricing and taxes

• All prices on the website are in Indian Rupees (INR) and are inclusive of all applicable taxes including GST.
• A GST invoice is generated and emailed for every successful booking.
• Prices on our service range from ₹100 to ₹4,999.
• A service handling fee of ₹49 may apply on orders below ₹999.
• A Cash on Delivery handling fee of ₹49 applies on COD bookings.

5. Bookings & payment

• Bookings are confirmed only after successful receipt of payment (for UPI) or successful order placement (for COD).
• Payment is processed by our PCI-DSS compliant payment partner, MMADPay. Xeneva does not store full card or banking details.
• By submitting a booking, you confirm that the booking details (date, address, contact) are accurate. Xeneva is not liable for issues caused by incorrect information.
• Once payment is confirmed, an order confirmation email is sent to you and our fulfillment team contacts you to schedule the consultation slot.
• Consultations are typically scheduled within 24–72 business hours of payment confirmation, depending on the service. Slots are subject to consultant availability.

6. User obligations

You agree:

• To use the website only for lawful purposes.
• Not to impersonate any person or entity.
• Not to use the website to transmit harmful, illegal, defamatory, or infringing content.
• Not to attempt to gain unauthorised access to our systems or data.
• To honour your scheduled consultations — failure to attend without notice (no-show) is treated as service rendered and is non-refundable.
• To provide accurate information about your situation/business when requested by our team so the consultant can prepare effectively.

7. Prohibited use

The website may not be used to:

• Resell, redistribute, or commercialise consultations or session deliverables without our written consent.
• Engage in fraud, payment fraud or chargeback abuse.
• Upload viruses or malicious code.
• Interfere with the proper functioning of the website.
• Use automated scraping, crawling or data-mining tools.

8. Intellectual property

All content on this website — text, graphics, logos, images, icons, videos, software and the compilation thereof — is the property of Xeneva or its licensors and is protected by Indian and international intellectual property laws. You may not reproduce, distribute, modify or create derivative works without our prior written consent.

9. Third-party links and partners

The website may contain links to third-party websites or services. Xeneva is not responsible for the content, accuracy, privacy practices, or any harm caused by these third parties. The actual delivery of a consultation is by the assigned consultant; while we carefully vet our consultants, advice given is professional opinion and outcomes may vary.

10. Limitation of liability

To the maximum extent permitted by applicable law, Xeneva (and its directors, officers, employees and affiliates) shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising out of your use of the website or any service. Our aggregate liability for any claim shall not exceed the amount actually paid by you for the specific booking giving rise to the claim.

11. Indemnification

You agree to indemnify and hold harmless Xeneva, its officers, directors, employees and agents from any claim, liability, loss, damage, cost or expense (including reasonable legal fees) arising from: (a) your violation of these Terms; (b) your violation of applicable law; or (c) your infringement of any third-party rights.

12. Cancellation, refund & modification

Cancellations, refunds and modifications are governed by our Refund & Cancellation Policy, which is incorporated into these Terms by reference.

13. Service fulfillment

Service fulfillment timelines and conditions are described in our Service Fulfillment Policy.

14. Termination

We may suspend or terminate your access to the website at any time, with or without notice, for any breach of these Terms or for fraudulent, illegal or harmful conduct. You may stop using the website at any time. Provisions relating to intellectual property, liability and dispute resolution shall survive termination.

15. Disclaimer of warranties

The website and services are provided on an "as is" and "as available" basis. We make no warranties, express or implied, about the operation of the website or the accuracy, completeness or reliability of the content. To the fullest extent permitted by law, we disclaim all such warranties.
